Whistleblowing in the USA: claim the award through an LLC, without your name
US whistleblowers can receive up to 30 % of the penalties as a reward. With an LLC your identity stays protected, and we help with structure, tax and legal representation.
The USA runs some of the most lucrative whistleblower programs in the world. If you give the tax authority, the IRS, the securities regulator, the SEC, or the Commodity Futures Trading Commission (CFTC) relevant, usable information about tax evasion, accounting fraud, insider trading or other violations of the law, you can expect a reward of between 10 % and 30 % of the amount collected.
The only condition: the damage to the US government or US investors must be large enough, and your information must be new, credible and decisive.
But while the awards can run into the millions, the flip side is often a huge loss of privacy. In many cases the whistleblower's identity is made public, whether in court filings, press articles or public records.
For many people, that is exactly why they never act.
The solution: a US LLC as your whistleblower vehicle
Instead of claiming the reward as a private individual, you can form a Limited Liability Company (LLC) in the USA and have it registered as the official whistleblower. US authorities explicitly accept this, as long as it is clearly documented that the LLC is the beneficial owner.
In practice, this means: the payment goes to the LLC's account. Your name appears in no public notice.
Your benefits at a glance
-
✅ Complete discretion: your name appears on no list, in no press release, in no judgment
-
✅ Asset protection: a clear separation between your private assets and the award proceeds
-
✅ Room to structure: depending on your needs, the LLC can be run as a "disregarded entity" or as a corporation
-
✅ Long-term strategy possible: can be combined with holding structures, trusts or foundations
Structure is everything: two-tier models for even more protection
In especially sensitive cases (for example, when the whistleblower is still working or even has ties to the company accused), it makes sense to set up not just one LLC but a two-tier model.
What does that mean in practice?
-
LLC 1 acts as the official whistleblower toward the US authority
-
LLC 2 is the beneficial owner of LLC 1 (e.g. as "sole member") and receives the payout
-
Optional: LLC 2 can in turn be held by a foreign holding company, foundation or PPLI structure
Advantages of this structure
-
🔒 Even stronger separation between the operational report and the beneficial interest
-
📁 More flexible tax planning
-
💼 A professional presence toward the authorities
-
🌍 The funds can easily be used internationally

A real case from our files
A European client held incriminating information about a listed company that for years had used shell companies in third countries for massive tax avoidance. He feared the consequences: with his former employer, but also within his family.
What we did:
-
Formed an LLC in New Mexico with anonymous management
-
Registered this LLC as the whistleblower
-
Supported the filing of the documents with the IRS Whistleblower Office
-
Provided long-term tax and legal support, including structuring the payout
The result:
After six years, a nine-figure sum was paid back to the IRS. Our client's LLC received just under $12 million. No media coverage, no publication, no questions.
How do the whistleblower programs actually work?
IRS (tax evasion)
The IRS Whistleblower Office pays between 15 % and 30 % of the tax collected. Requirement: an amount in dispute of at least $2 million.
SEC (securities violations)
Tips on insider trading, accounting fraud or market manipulation lead to rewards where investor harm can be proven. Requirement: sanctions of at least $1 million.
CFTC (commodity markets)
If, for example, price manipulation is uncovered, anonymous tips can also earn substantial awards.
False Claims Act
Especially lucrative when companies have overbilled government bodies (e.g. on subsidies, grants or military contracts). Here the whistleblower may even file the lawsuit themselves, and the government can join it.
Why an LLC beats a trust or a foundation
-
Trusts are not treated as separate legal entities in the USA and are often unfavorable for tax
-
Foreign foundations are subject to reporting obligations and often add complexity
-
A US LLC, by contrast, is simple, inexpensive and accepted by the authorities as a whistleblower
States such as Wyoming, New Mexico or Delaware are especially attractive because they:
-
do not publish beneficial owners
-
have only minimal ongoing reporting requirements
-
keep costs low
What happens to the money, and how is it taxed?
Tax treatment in the USA
The US tax authorities generally treat whistleblower awards as taxable income, but only if the recipient is a US tax resident.
If a foreign person uses a properly structured LLC, the payment can, under certain conditions, be tax-free in the USA:
-
The recipient is not a US tax resident ("nonresident alien")
-
There is no permanent establishment in the USA
-
The required forms, such as Form W-8BEN-E, have been properly filed
The bottom line: in these cases, no withholding tax is levied by the US authorities.
Taxation in your country of residence
How the award is taxed in your country of residence is complex and depends on factors including:
-
Your tax residence at the time of payment
-
Whether it counts as business or private income
-
Your country's treaty position with the US (double taxation treaty)
-
How the funds are used (reinvestment, repatriation, gifts, etc.)
Ways to optimize
We help you:
-
structure the payment on a sound legal footing
-
optimize it for tax
-
protect it for the long term
For example through:
-
Reinvestment through offshore holding companies
-
Private Placement Life Insurance (PPLI)
-
Foreign foundations or companies
-
Changing your residence before the payout

Need legal representation in the US? We'll make the introduction
A successful whistleblower case takes more than a smart structure. It often also needs experienced attorneys on the ground who file the case with the US government, see it through and negotiate. That frequently means complex negotiations with the IRS, the SEC, the Department of Justice or other US agencies.
For years, we have worked with excellent US law firms that specialize in exactly these cases, on a contingency basis: "no win, no fee".
That means:
You pay no legal fees up front. Only if the case leads to a payout does the law firm receive an agreed share.
We are happy to make the introduction, discreetly and with no obligation, of course. In many cases, we can arrange a realistic initial assessment by our partners in advance, without you having to appear in person.
This combination of strategic structuring by us and legal enforcement by experienced US attorneys gives you the best possible chance of success while protecting your identity.

If you hold information that could interest US authorities, don't wait too long. In many cases, what counts is who acts first and who is best prepared.
